Notes to the annual financial statements

General information

Stanley Associates, Inc. acquired 25,000 shares at Rheinsee 352. V V GmbH, Dusseldorf with the purchase agreement dated 22 ^nd July 2011. The company has changed the name as Stanley Associates (Deutschland) GmbH and entered in the commercial register on 23 ^rd August 2011.

Basis of Accounting

The annual financial statement of Stanley Associates (Deutschland) GmbH has been prepared in accordance with the provisions of the German Commercial Code (HGB) taking into account the requirements of the German Accounting Law Modernization Act (BilMog). For the purpose of the presentation of the items on the balance sheet, the company has made use of the exemptions available for small corporations in the above provisions.

Accounting policies

Current assets

Receivables and other assets are carried at their principal amount or at cost. It was not necessary to write down any receivables in the short fiscal year. Liquid assets are carried at cost.

Provisions

Provisions comprise individual provisions for identifiable risks from contingent liabilities taking into account estimated future increases in prices and costs.

Liabilities

Liabilities are carried at their settlement amount on the balance sheet date.

Currency translation

Assets and Liabilities denominated in foreign currencies were generally converted with the exchange rate at balance sheet date.

Notes to the income statement

1) Revenue

Revenue mainly relates to operational planning and logistic support services, in particular to US military and US Government clients within the territory of Germany and the European Union.

2) Trade Receivables

Receivables in the amount of EUR 28 thousands relates to receivables from parent company in US. All receivables have a residual term of less than one year.

4) Provisions

The provision primarily comprise obligation to employees and corporation taxes. All provisions have a maturity of less than one year.

Employees

The Company had an average of 12 salaried employees in the period under review.

Management

The members of management were as follows during the period under review and up to the date on which the financial statements were prepared:

The members of the management board did not receive any compensation for their activities in the short fiscal period.

The general managers will propose to the shareholder meeting that the net income for short fiscal period 2011 be carried forward to new account.

All the shares in Stanley Associates (Deutschland) GmbH are held by Stanley Associates, Inc., 12601 Fair Lakes Circle, Fairfax, VA 22033, USA. Stanley Associates, Inc. is an affiliate of CGI Group Inc., Montreal, Canada.

Anhang für das Rumpfgeschäftsjahr vom 22. Juli bis 31. Dezember 2011

Allgemeine Informationen

Stanley Associates, Inc. erwarb 25.000 Aktien an Rheinsee 352. VV GmbH, Düsseldorf mit dem Kaufvertrag vom 22. Juli 2011. Das Unternehmen hat den Namen zu Stanley Associates (Deutschland) GmbH geändert und trat in das Handelsregister am 23. August 2011.

Grundsätzliche Angaben

Der Jahresabschluss von Stanley Associates (Deutschland) GmbH wurde im Einklang mit den Bestimmungen des deutschen Handelsgesetzbuches (HGB) unter Berücksichtigung der Anforderungen des deutschen Bilanzrechtsmodernisierungsgesetzes (BilMoG) vorbereitet worden. Für die Zwecke der Präsentation der Bilanzpositionen, hat das Unternehmen den Einsatz der Ausnahmeregelungen für kleine Kapitalgesellschaften in den oben genannten Bestimmungen in Anspruch genommen.

Bilanzierungs-und Bewertungsmethoden

Umlaufvermögen

Die Forderungen und sonstigen Vermögensgegenstände sind zum Nennbetrag oder zu Anschaffungskosten bilanziert. Es war nicht notwendig Abschreibungen an den Außenständen im Rumpfgeschäftsjahr vorzunehmen. Liquide Mittel werden zu Anschaffungskosten bilanziert.

Rückstellungen

Die Rückstellungen umfassen einzelne Positionen für erkennbare Risiken aus Eventualverbindlichkeiten unter Berücksichtigung der geschätzten zukünftigen Erhöhungen der Preise und Kosten.

Verbindlichkeiten

Die Verbindlichkeiten werden zum Rückzahlungsbetrag am Bilanzstichtag angesetzt.

Währungsumrechnung

Vermögenswerte und Verbindlichkeiten in Fremdwährungen wurden in der Regel mit dem Kurs am Bilanzstichtag umgerechnet.

Erläuterungen zur Gewinn- und Verlustrechnung

1) Umsatzerlöse

Der Umsatz bezieht sich insbesondere auf Dienstleistungen im Bereich der operativen Planung und der logistischen Unterstützung des US-Militärs und der US-Regierung auf dem Gebiet von Deutschland und der Europäischen Union.

2) Forderungen aus Lieferungen

Forderungen in Höhe von EUR 28 Tausend beziehen sich auf Forderungen an die Muttergesellschaft in den USA. Alle Forderungen haben eine Restlaufzeit von weniger als einem Jahr.

4) Rückstellungen

Die Rückstellungen umfassen in erster Linie Verpflichtungen gegenüber Arbeitnehmern und der Körperschaftsteuer. Alle Rückstellungen haben eine Laufzeit von weniger als einem Jahr.

Mitarbeiter

In der Berichtsperiode hatte das Unternehmen im Durchschnitt 12 Angestellte.

Geschäftsführung

Die Mitglieder der Geschäftsleitung während der Berichtsperiode und bis zu dem Tag, an dem die Abschlüsse erstellt wurden, lauten wie folgt:

Die Geschäftsführer werden der Hauptversammlung vorschlagen, den Bilanzgewinn für das Rumpfgeschäftsjahr 2011 auf das folgende Jahr vorzutragen.

Mutterunternehmen

Sämtliche Anteile an Stanley Associates (Deutschland) GmbH werden von Stanley Associates, Inc., 12601 Fair Lakes Circle, Fairfax, VA 22033, USA gehalten. Stanley Associates, Inc. ist eine Tochtergesellschaft der CGI Group Inc., Montreal, Kanada.
